Terms of Service

1. Acceptance of Terms

By accessing or using Praisivo ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all visitors, users, and customers of Praisivo.

The Service is provided by Praisivo, operating under Leonenko Group LLC ("we," "us," or "our").

2. Service Description

Praisivo is a reputation management platform for local businesses. The Service enables businesses to:

• Send SMS and email review requests to customers
• Generate and display QR codes for in-person review collection
• Route customer feedback (Google Reviews for positive, private form for negative)
• Sync and monitor Google Reviews via the Google Places API
• Generate AI-powered reply drafts for Google Reviews
• View analytics and reporting on review performance

3. SMS Terms - TCPA Compliance

Your responsibilities include:

• Obtaining proper consent from contacts before submitting their phone numbers to Praisivo
• Maintaining records of consent for each contact
• Ensuring your messaging complies with all applicable laws in your jurisdiction
• Only sending messages related to legitimate review requests for your business
• Not using the Service to send spam or unsolicited commercial messages

We are not liable for your messaging practices. You indemnify and hold Praisivo harmless from any claims, penalties, fines, or damages arising from your use of our SMS features, including any TCPA violations.

STOP Opt-Out Handling

All SMS messages sent through Praisivo include opt-out instructions (e.g., "Reply STOP to opt out"). Recipients who reply STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, or QUIT will be automatically removed from all future SMS communications through our platform. This opt-out is processed immediately and irrevocably.

You must not attempt to circumvent opt-outs or re-add contacts who have opted out without obtaining new explicit consent.

4. Account Registration and Trial

You must register for an account to use the Service. You agree to provide accurate information and keep your credentials secure. You are responsible for all activity that occurs under your account.

New accounts receive a 14-day free trial with access to all features. No credit card is required to start a trial. After the trial period, you must subscribe to a paid plan to continue using the Service.

5. Payment Terms

Paid subscriptions are billed monthly or annually in advance. Prices are displayed on our pricing page and are subject to change with 30 days notice. All payments are processed by Stripe.

Subscriptions automatically renew unless cancelled before the next billing cycle. You can cancel at any time through your account billing settings or by contacting us. Cancellation takes effect at the end of your current billing period - we do not offer prorated refunds.

If payment fails, we will attempt to charge your card again and notify you by email. After repeated failures, your subscription may be suspended or downgraded to a trial plan.

6. Acceptable Use Policy

You agree not to use Praisivo to:

• Send unsolicited or spam messages to any person or number
• Harass, threaten, or abuse any individual
• Violate any applicable local, state, national, or international law
• Misrepresent your identity or business
• Submit false or misleading information to Google Reviews
• Attempt to manipulate online reviews in violation of Google's policies
• Scrape, reverse-engineer, or copy the Service without permission
• Use the Service to compete with Praisivo or build a similar product
• Send review requests to minors

We reserve the right to terminate accounts that violate this policy without refund.

7. Intellectual Property

The Service, including all software, design, and content, is owned by Leonenko Group LLC and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

You retain ownership of your business data and customer data you provide to the Service. You grant us a limited license to process this data to provide the Service.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRAISIVO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

We are not responsible for the content of reviews posted to Google, your customers' responses, or changes to third-party APIs (including Google, Twilio, or Stripe) that affect the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Indemnification

You agree to indemnify, defend, and hold harmless Praisivo and Leonenko Group LLC from any claims, damages, liabilities, costs, or expenses (including attorney's fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any TCPA or other legal violations arising from your SMS campaigns.

11. Termination

You may terminate your account at any time by contacting us or using the account deletion feature. We may terminate or suspend your account immediately if you violate these Terms, engage in fraudulent activity, or fail to pay your subscription.

Upon termination, your data will be deleted within 30 days. Sections on Limitation of Liability, Indemnification, and Governing Law survive termination.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration under JAMS rules, or in the courts of Delaware.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or a notice on the platform at least 14 days before they take effect. Continued use of the Service after changes constitutes acceptance.
